1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and Jupag ("Company," "we," "us," or "our") governing your access to and use of our website at Jupag.com, including any content, functionality, and services offered on or through the website (the "Site"), our mobile application (the "App"), and our hardware devices and related software (collectively, the "Products").

By accessing or using our Site, App, or Products, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Site, App, or Products.

2. Intellectual Property Rights

The Site, App, and Products, including their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Site, App, and Products for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, App, or Products, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
• You may store files that are automatically cached by your Web browser for display enhancement purposes.
• You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
• If we provide social media features with certain content, you may take such actions as are enabled by such features.

No right, title, or interest in or to the Site, App, or Products or any content on the Site or App is transferred to you, and all rights not expressly granted are reserved by the Company.

All purchases of Products through the Site or App are subject to our order acceptance. We may, in our sole discretion, refuse to accept an order.

Product Descriptions: We strive to accurately describe our Products. However, we do not warrant that Product descriptions or other content on the Site or App are accurate, complete, reliable, current, or error-free.

Pricing: All prices are shown in U.S. dollars and do not include taxes and shipping unless otherwise specified. We reserve the right to change prices at any time. If we discover an error in the price of items you have ordered, we will inform you and give you the option of reconfirming your order at the correct price or canceling it.

Payment: We accept various payment methods as indicated on the Site or App. By providing a payment method, you represent that you are authorized to use the designated payment method and you authorize us to charge your payment method for all purchases you make.

Shipping: Shipping terms and delivery estimates are provided at checkout. We are not liable for delays in shipment or delivery. Risk of loss and title for Products purchased from us pass to you upon delivery of the Products to the carrier.

Returns and Refunds: Returns and refunds are subject to our Return Policy, which is incorporated by reference into these Terms.

Firmware and Software Updates: Our Products may require firmware or software updates to maintain optimal performance and security. By using our Products, you agree to receive and install such updates when they become available. Failure to update firmware or software may result in reduced functionality or security vulnerabilities.

• Use any manual process to monitor or copy any of the material on the Site or App or for any other unauthorized purpose without our prior written consent.
• Use any device, software, or routine that interferes with the proper working of the Site or App.
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site or App, the server on which the Site or App is stored, or any server, computer, or database connected to the Site or App.
• Attack the Site or App via a denial-of-service attack or a distributed denial-of-service attack.

• Use our Products for any illegal activity or in any manner that could damage, disable, overburden, or impair the Products.

6. Warranty Disclaimer

THE SITE, APP, AND PRODUCTS ARE PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We make no warranty that the Site, App, or Products will meet your requirements or be available on an uninterrupted, secure, or error-free basis. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness or reliability of any content available through the Site or App.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

7. Limitation of Liability

IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, APP, PRODUCTS, OR ANY CONTENT ON THE SITE OR APP, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

8. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, App, or Products, including, but not limited to, any use of the Site's or App's content, services, and products other than as expressly authorized in these Terms.

9. Term and Termination

These Terms shall remain in full force and effect while you use the Site, App, or Products. We may terminate or suspend your access to the Site, App, or Products immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site, App, and Products will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site, App, or Products shall be instituted exclusively in the federal courts of the United States or the courts of the State of Texas, in each case located in Collin County, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

11. Changes to the Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Site, App, and Products thereafter.

Your continued use of the Site, App, or Products following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.
